MUTUAL NON-CIRCUMVENTION/NON-DISCLOSURE AGREEMENT

WHEREAS, the parties hereto desire to enter into a mutually beneficial business relationship, and

WHEREAS, such relationship will require the exchange of valuable and confidential information from one party to the other, and

WHEREAS, in order to allow a free exchange of such information, the parties desire to enter into a Non-Circumvention / Non-Disclosure Agreement.

THEREFORE, in consideration of the mutual covenants herein contained, it is hereby agreed by and between the parties as follows:

The parties agree not to circumvent, avoid, bypass, or obviate each other, either directly or indirectly in any transaction with any corporation, partnership, individual, or other entity revealed by either party to the other in connection with any project or transaction involving the other party which may have the effect of interfering with the collection of fees or commissions by the other party.

Neither party shall disclose, or otherwise reveal to any third party any confidential information provided by the other party, including, but not limited to, the names, addresses, or telephone/FAX/e-Fax/, e-mail numbers of sellers, buyers, lenders, borrowers, borrower’s agents, sources, bankers and traders, intellectual property(-ies), proprietary processes, revenues, or any means of access thereto; or any bank information, codes, or information provided pursuant to the terms of this Agreement by the other party, without written consent of the party providing such information.

In the event of a breach of this agreement by one party, the other party shall be entitled to damages from the breaching party in an amount equal to the maximum fee or commission, including reimbursement of expenses, which that party may have earned had it not been for the breach.

This agreement shall be binding upon the undersigned, their employees, representatives, agents, consultants, heirs, successors, assigns, and/or nominees for a period of three (3) years from the date hereof.
